These Terms of Service ("Terms") govern your access to and use of the Clipquence mobile application (the "App"), operated by Ydiop LLC ("Clipquence," "we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Eligibility
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and participate in games with prizes.
- You must reside in a jurisdiction where participation in skill-based or chance-based prize games of this kind is legal. The App is void where prohibited by law.
- Employees, contractors, and immediate family members of Ydiop LLC are not eligible to win prizes.
- You may not create or use more than one account per person. Multiple accounts may be terminated and any associated winnings forfeited.
2. Your Account
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You agree to provide accurate information, including a valid method of contact for prize notification and delivery.
- We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in cheating, or provided false information.
3. How the Game Works
- Each game presents a set of audio clips. Players listen to the clips and arrange them into the sequence they believe is correct.
- Players submit their proposed sequence before the game's countdown ends.
- Winners are determined by (a) submitting the correct sequence, and (b) among correct submissions, being among the first submitted, up to the stated maximum number of winners for that game.
- We reserve the right to determine, in our sole discretion, the correct sequence, submission order, and winner list for each game, and our determination is final.
4. User Conduct
You agree not to:
- Use bots, scripts, multiple accounts, or any automated or unfair means to gain an advantage.
- Attempt to access, reverse-engineer, or interfere with the App's underlying systems, servers, or audio content prior to a game's start.
- Share, sell, or transfer your account to another person.
- Use the App for any unlawful purpose or in a way that infringes the rights of others.
Violation of this section may result in disqualification from a game, account termination, and forfeiture of any prize.
5. Prizes and Payout ("Official Rules")
- No purchase necessary. You do not need to make any payment, purchase, or in-app transaction to enter or win a game.
- Prize description: prize amounts and structures are described within the App for each individual game and may vary game to game.
- Payout method: prizes are paid outside the App (for example, via bank transfer, payment app, or other method we specify) to the payout details a winner provides. It is the winner's responsibility to provide accurate payout information.
- Odds of winning depend on the number of eligible participants and correct submissions for a given game.
- Taxes: winners are solely responsible for any taxes, reporting obligations, or other legal obligations arising from receipt of a prize. Where required by law, we may request tax information (such as a W-9 or equivalent) before releasing a prize, and may issue applicable tax forms.
- Verification: we may verify a winner's eligibility and identity before releasing a prize, and may disqualify any entry or winner found to be in violation of these Terms.
- Right to modify or cancel: we reserve the right to modify, suspend, or cancel any game, in whole or in part, if we determine that fraud, technical failure, or other factors have compromised the integrity of the game, subject to compliance with applicable law.
6. State-Specific Terms
Some U.S. states have specific requirements for prize promotions (for example, registration or bonding requirements above certain prize thresholds in states including but not limited to New York, Florida, and Rhode Island). Where applicable law requires additional disclosures, registration, or eligibility restrictions for residents of a particular state, those requirements apply in addition to these Terms, and we will take reasonable steps to comply, including restricting participation from certain jurisdictions where necessary.
7. Intellectual Property
The App, including its design, software, audio content, trademarks, and logos, is owned by Ydiop LLC or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.
8. Push Notifications
By using the App, you consent to receive push notifications related to gameplay, results, and account or policy updates. You may disable push notifications at any time through your device settings.
9. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YDIOP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE APP OR PARTICIPATION IN ANY GAME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF ANY PRIZE IN DISPUTE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Dispute Resolution and Governing Law
These Terms are governed by the laws of the United States and the state of Michigan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved informally by contacting support@clipquence.com. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Kalamazoo County, Michigan, unless applicable law requires otherwise.
12. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the App or by other reasonable means. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
